Terms of Service

1. Accounts

You must provide accurate information and keep your credentials secure. You must be legally able to enter into these Terms and use the Service only for lawful business purposes.

If you use the Service on behalf of an organization, your organization is responsible for who it invites, the roles and permissions it assigns, its internal account administration, and all actions taken through authorized accounts. You are responsible for maintaining the confidentiality of your credentials and for activity that occurs under your account.

2. Subscriptions and trials

Paid plans are billed on a recurring basis (monthly unless stated otherwise) through our payment processor, Stripe. New organizations may receive a free trial; unless you cancel before the trial ends, your subscription will begin and the applicable fee will be charged. You authorize us to charge your payment method for all fees incurred.

3. Per-location pricing

Pricing is based on the number of active store locations in your organization. Users are unlimited. As you add or remove active locations, your subscription quantity is adjusted accordingly, and mid-cycle changes are prorated. Current pricing is shown on our site and may be updated with notice.

4. Cancellation, suspension, and termination

You may cancel at any time from your billing settings. Cancellation stops future renewals; access continues through the end of the current paid period. Cancellation does not retroactively refund fees already paid, which are non-refundable except where required by law.

We may suspend or terminate access to the Service, in whole or in part, for reasons including nonpayment, misuse, a security risk, suspected unlawful use, or a material violation of these Terms. Where practical we will give notice, but we may act immediately when needed to protect the Service, other customers, or us. On suspension or termination, your right to access the Service stops, though some data may remain retained for a limited time for legal, accounting, or security reasons as described in our Privacy Policy.

5. Your data

As between you and us, your organization owns the data it enters. You grant us the limited rights needed to host and process that data to provide the Service. Our handling of personal information is described in our Privacy Policy. You are responsible for the accuracy and legality of the data you submit.

6. Acceptable use

You agree not to misuse the Service — including attempting to breach security or tenant isolation, reverse-engineer the Service, interfere with its operation, or use it to store or transmit unlawful content. We may suspend accounts that violate these Terms.

7. AI features

The Service includes optional AI-assisted features. AI output may contain errors and is provided to assist, not replace, your professional judgment. You are responsible for reviewing AI- generated content — including anything used for labels, feeding directions, or regulatory compliance — before relying on it.

8. Your responsibility and compliance

Provendry assists with the management of your feed operation. It does not run your operation for you, and it does not act as your nutritionist, veterinarian, regulatory advisor, or legal counsel. You remain solely responsible for:

• final review and approval of formulas;
• final review and approval of labels;
• feeding directions and usage instructions;
• regulatory and feed-law compliance;
• the suitability of ingredients you use;
• production decisions and how the Service is used;
• the accuracy of the records you keep in the Service; and
• your actual business and operational outcomes.

Any output generated with the help of the Service — including AI-assisted and software-generated formulas, labels, feeding directions, and compliance checks — is provided to assist your judgment and must be reviewed by you before use or reliance. The Service does not guarantee regulatory compliance, label sufficiency, formulation correctness, or production results, and features such as compliance checks and traceability tools are aids to your own review, not a substitute for it.

9. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted or error-free. Provendry is a tool for managing feed operations and does not provide veterinary, nutritional, or legal advice.

10. Limitation of liability

To the maximum extent permitted by law, Roxstar Labs will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the claim.

11. Changes to the Service or Terms

We may modify or discontinue features and may update these Terms from time to time. Material changes will be posted here with an updated effective date. Continued use after changes take effect constitutes acceptance.

12. Governing law and venue

These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws rules. You and Roxstar Labs agree that any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Ohio, and you consent to the personal jurisdiction of those courts.
